The Event Participation Terms (the "Terms") apply to your participation, attendance, and purchase of any tickets, merchandise or otherwise in relation to the event indicated in the order form (the "Event"). The Terms enter into force at the date at which the registration is completed (the "Effective Date").
The Terms are between Rasa Technologies, Inc., with a registered address at Four Embarcadero Center, Suite 1400, San Francisco, CA 94111 ("Rasa"; "we") and the individual who purchased a ticket to the Event, or otherwise attends the Event, online or otherwise (the "Attendee"; "you"). If you are registering on behalf of another person, it is your obligation to make sure that the person attending is aware of these Terms and agrees to be legally bound to them. By completing and submitting the registration form, you are representing and warranting that you have made the person attending aware of these Terms and that they have accepted these Terms.
ANY PURCHASE OR POSSESSION OF TICKETS FOR THE EVENT CONSTITUTES THE IRREVOCABLE ACCEPTABLE OF, AND THE AGREEMENT TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN. IF YOU DO NOT AGREE TO BE BOUND BY THE EVENT PARTICIPATION TERMS, DO NOT PURCHASE EVENT PASS.
1. DEFINITION
1.1. "Event Pass" means any of the right to access the Event, including multiple sessions or activities within an even, including, where applicable, access to exclusive areas, additional benefits or VIP experience, subject to the Event Price.
1.2. "Event Price" means the fees and costs payable to attend, participate or view the Event, as indicated on the Event Pass, and if applicable.
1.3. "IP" means all intellectual property, including but not limited to patents, trademarks, service marks, trade names, logos, domain names, copyrights, trade secrets, proprietary information, and any other intangible property rights, whether registered or unregistered, owned, licensed, or otherwise used by a Party in connection with its business.
2. REGISTRATION
2.1. You must be registered at least one business day before the Event. We reserve the right to exclude from any Event any individual whose name does not appear on our register of participants. Unless indicated otherwise, you must be above the age of 21 to attend the Event.
2.2. When you register for the Event, you must provide us with accurate and complete information requested on our registration form. It is your responsibility to inform us of any changes to that information (including, without limitation, your email address) by updating your details by email, or on the Event's website. All registrations for the Event are subject to availability and to acceptance by Rasa at its sole discretion.
2.3. A valid registration for the Event will allow the participant to be admitted to the Event, or to any part of the Event, as indicated on the Event Pass. The registration will close at the date indicated on the Event's website, and Rasa will have no obligation to accept any registration after this date.
2.4. It is the Attendee's responsibility to advise of any special access or dietary requirements at the time of registration. Last-minute notification may result in an inability to accommodate.
2.5. Where an Event requires an Event Pass to enable entry, you may be required to provide evidence of your identity for your Event Pass to be issued to you. Attendees must always keep the Event Pass on their person during the Event, and Rasa reserves the right to refuse entry or request that you leave the Event if you cannot present your Event Pass when requested. If your Event Pass is lost, misplaced, stolen or forgotten, a replacement Event Pass will be issued to you if you can confirm your identity.
2.6. You agree that your travel and attendance at the Event are at your own risk and not the responsibility of Rasa. It is the attendee's responsibility to investigate the visa requirements to attend the event, and to apply for an entry visa if required. If a visa is not granted, or sufficient time for the visa application process has not been allowed, Rasa is under no obligation to issue any refund. Rasa is not obliged to provide any advice or assistance relating to the obtaining of visas. Failure by any Attendee to obtain a visa to attend an Event shall not entitle Attendee to obtain a refund of the Ticket Price.
3. EVENT PASS
3.1. The Event Pass is for the sole purpose of access to the Event. All participants will be required to provide a form of identification with the name appearing on the Event Pass.
3.2. You cannot sell, transfer, or share your Event Pass. You can substitute a participant by another individual at no extra cost by notice in writing to Rasa at any time, subject to compliance with these Terms, including, the need for any substitute individuals to provide the registration details at least one business day in advance of attending the Event.
3.3. All Event Passes are the property of Rasa and must be returned to Rasa upon request.
4. PARTICIPATION
4.1. By attending the Event, you agree to comply with Rasa's Code of Conduct available here. The Code of Conduct outlines the expected behaviour and guidelines for all our attendees to ensure a safe, respectful, and inclusive environment. Failure to adhere to the Code of Conduct may result in actions including, but not limited to warnings, expulsion from the Event without a refund, or involvement of our security personnel.
4.2. We reserve the right, at our sole discretion and without any liability or obligation to provide any refund, to refuse admittance or to eject from the Event if we determine your presence and/or behaviour: (i) is disruptive or hindering the Event and/or the enjoyment of the Event by other attendees, speakers, partners or staff, (ii) fails to comply with the rules and policies of the Event venue while on its premises, (iii) poses security, health, or safety risk to the Event or to any person or partner at the event, or (iv) fails to comply with or is likely to fail to comply with these Terms.
4.3. Safety and Security. All attendees are subject to the following measures:
- Entrance to the Event venue is permitted only for confirmed Event ticket holders. Please ensure you always have your ticket available for verification.
- Weapons of any kind are strictly prohibited within the Event venue.
- All bags and personal items may be subject to inspection upon entry to ensure the safety of all attendees.
Please report any suspicious individuals or activities immediately to the Event security team or the hotel staff. In case of emergencies, contact local law enforcement authorities.
5. PURCHASE; EVENT PRICE
5.1. Event Passes can be purchased through the Event's website. The payment of the Event Price is due upon registration. If such payment is insufficient or declined for any reason, Rasa may refuse to admit you to the Event and will have no liability for doing so. Any currency conversion fees or exchange rate differences are the responsibility of the Attendee.
5.2. Rasa is not liable for any other associated costs with your attendance. Fees are non-refundable if cancelled any time after registration. We'd be happy to transfer your pass to a colleague to attend in your place, if you prefer.
5.3. All Event Passes must be assigned to an Attendee, and all Attendees' details must be 100% complete prior to the Event. You cannot resell a ticket. Doing so will void the Event Pass, and the Event Pass holder will not be able to enter the Event. Rasa, in its sole discretion, reserves the right to cancel and/or refund an attendee's Event Pass to the Event.
5.4. Confirmation. If for any reason, you do not receive a confirmation number or if you receive an error message or encounter a service interruption while you are completing the purchase of the Event Pass, it is your entire responsibility to contact us at support@calmsummit24.com to confirm whether your order has been properly processed. You are solely responsible for any problem that may occur during the purchase of the Event Pass. In such case, Rasa will not be responsible for any loss (monetary or otherwise) that may result from any problem occurring during the purchase of the Event Pass, including, without limitation, the failure of a transaction to be completed or confirmed, whether through the action of Rasa, or a third party.
6. CHANGES TO THE EVENT
You acknowledge and agree that Rasa, in its sole discretion, reserves the right to change all aspects of the Event, including but not limited to the Event name, themes, content, program, speakers, performers, hosts, moderators, venue and time. We will make a reasonable effort to provide notice of any changes to the Event details.
In the unlikely event of postponement or cancellation of the Event, our total aggregate liability to you is limited to the refund of paid fees that remain after credit card and payment processing fees have been incurred and deducted, and we will not be liable to you for any expenditure, damage or loss incurred by you because of the cancellation or postponement.
FORCE MAJEURE
7.1. Rasa is not liable if an Event is, in whole or in part, cancelled, rescheduled or postponed, or for any failure or delay performing our obligations under these Terms, if such Event results from anything beyond our reasonable control (including but not limited to natural disasters, flood, fire, extreme weather, acts of terror, war, labor strike, malicious damage, pandemic or disease outbreaks, curtailment of transportation facilities, compliance with any law or governmental order, or mechanical, electronic or communications failure or degradation, or any other emergency) or anything else that renders the performance of an Event, in whole or in part, impracticable, illegal or impossible.
8. PUBLICITY
8.1. By attending the Event, you give Rasa and its employees, agents, and representatives permission to take photos, make films, and record your participation in the Event. This includes your name, likeness, image, voice, presentations, performances, and any interviews, statements, or endorsements you give (collectively, "Participant Content").
8.2. You grant Rasa and its affiliates a perpetual, irrevocable, royalty-free right to use, copy, modify, edit, display, distribute, publish, broadcast, and share the Participant Content, in whole or in part. Rasa may use this content to promote its services, products, the Event, similar events in the future, and for related marketing purposes.
9. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in and to the Event, the Event content and all materials distributed at or in connection with the Event are owned by Rasa and/or the speakers presenting at the Event. You may not use or reproduce or allow anyone to use or reproduce any trademarks or other trade names appearing at the Event, in any Event, content and/or in any materials distributed at or in connection with the Event for any reason without the prior written permission of Rasa.
For the avoidance of doubt, nothing in these Terms shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by Rasa or any of its affiliates or grant to you any right or license to any other intellectual property rights Rasa or its affiliates, all of which shall at all times remain the exclusive property of Rasa and its affiliates.
It is strictly forbidden for any company, organization, or person to attempt to host or organize an event in conjunction with contiguous to or purporting to be related to a Rasa Event or its affiliates without the express prior written permission and cooperation of Rasa. We reserve their right to take such action (legal or otherwise), including a claim for damages as we, in our sole discretion, deem appropriate in the circumstances.
Use of video and audio recording equipment are not permitted by Attendees without prior written agreement from Rasa. You are permitted to take photographs and are welcome to make use of social media before, during and after an event, subject to the above.
10. INDEMNITY
You agree to defend, indemnify, and hold Rasa, our related companies, affiliates, subsidiaries, joint ventures, third-party service providers, and our respective employees, contractors, agents, officers, and directors harmless from all claims, liability, damages, losses, costs and expenses, including legal fees, that arise out of or are related to any breach of the Terms by you or any other liabilities incurred by us arising out of your attendance or participation at the Event.
11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE EVENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE LIMITED TO THE AMOUNT OF THE EVENT PRICE PAID BY YOU. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY APPLIES TO ANY CLAIM, REGARDLESS OF THE NATURE OF THE CAUSE OF ACTION, INCLUDING BUT NOT LIMITED TO BREACH OF CONTRACT, NEGLIGENCE, OR ANY OTHER TORT.
12. DISCLAIMER
To the extent permitted by applicable law, Rasa gives no warranties in respect of any aspect of the Event, or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing these Terms, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness and merchantability. Views expressed by speakers are their own. Rasa does not accept liability for advice given, or views expressed, by any speaker at the Event or in any material provided to Attendees. Neither Rasa nor its affiliates can accept any responsibility or liability for reliance by you or any person on any aspect of the Event and/or any information provided at the Event. Other than to the extent required as a matter of law Rasa, nor its affiliates, shall be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with these Terms.
IN NO EVENT RASA SHALL BE LIABLE TO ANY ATTENDEE, OR ANY OTHER PERSON OR ENTITY FOR ANY PERSONAL INJURY OR DAMAGES TO PROPERTY, DATA LOSS, DAMAGES FOR LOSS OF BUSINESS PROFITS OR OTHER PECUNIARY LOSS, INCLUDING ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR SIMILAR DAMAGES, ARISING OUT OF ANY ATTENDEE'S PARTICIPATION IN THE EVENT, EVEN IF RASA OR ATTENDEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU AGREE AND ACKNOWLEDGE THAT THE EVENT IS LIMITED TO THE RASA DESIGNATED LOCATIONS AND TIMES AT THE EVENT VENUE AND IN NO EVENT RASA SHALL BE LIABLE TO ANY ATTENDEE, OR ANY OTHER PERSON OR ENTITY, FOR ACTIVITIES OUTSIDE OF SUCH DESIGNATED LOCATIONS AND TIMES AT THE EVENT VENUE.
13. CHANGES TO THE TERMS
These Terms apply to you from the date of publishing and until these Terms are superseded by a new version. We may update these Terms at any time for legal and/or regulatory reasons, or to reflect changes in our services or business practices. Any amended Terms will be posted online.
14. GENERAL
14.1. Governing Law. The Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
14.2. Class Action Waiver. You agree that any dispute, claim, or controversy arising out of or relating to your participation in the Event or these terms and conditions shall be resolved on an individual basis without resort to any form of class action. You expressly waive any right to pursue any class, collective, or representative action or arbitration against us and agree that any proceedings to resolve or litigate any dispute, whether in court or arbitration, will be conducted solely on an individual basis.
14.3. Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to the Terms, or the breach, termination, or validity thereof, shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York City, New York. The decision of the arbitrator shall be final and binding upon the parties.
14.4. Interpretation. The Terms is the complete agreement between us regarding its subject matter, replacing all previous agreements, whether written or spoken. We can only change the Terms by providing you with a prior written notice of 15 days. If you disagree and provide reasonable motives, we will reimburse you for the Event Price. We are not responsible for any other costs. If any part of the Terms is found to be invalid, the rest of the Terms will still apply. We will replace the invalid part with a valid one that reflects our original intent. If we don't enforce a part of the Terms, it doesn't mean we waive our right to enforce it in the future.
14.5. Assignment. You can't transfer your rights or duties under the Terms to anyone else without our written permission. We can transfer the Terms if we merge, are acquired, or sell our assets.
14.6. Notices. All notices under the Terms must be in writing and delivered by hand, overnight courier, fax, email, or certified mail to the addresses provided in the Terms. Notices are effective when received.
